Terms of Service

Welcome to the VNDLY Affiliate Program! We're excited to partner with you. By signing up as an affiliate, you agree to the following terms and conditions. Please read them carefully.

1. Commission Structure & Payouts

• Commission Rate: You will earn a 20% recurring commission on the subscription fees collected from customers who sign up using your unique referral link.
• Lifetime of the Subscription: This is a "lifetime" recurring commission. You will continue to earn 20% for as long as the referred customer maintains an active, paid subscription.
• Cancellations & Churn: Commissions are strictly tied to active, collected revenue. If a referred customer cancels their VNDLY subscription, stops paying, or their payment fails, commission payouts for that customer will cease immediately.
• 45-Day Clearing Period: To protect against fraud, refunds, and chargebacks, all earned commissions are subject to a 45-day holding period. Commissions will be marked as "Pending" during this time and will become eligible for payout only after 45 days have passed since the customer's payment was successfully processed.
• Payout Minimum: Payouts are processed on a monthly basis once your approved (cleared) commission balance reaches a minimum of $50.00 USD. If your balance is below $50.00, it will roll over to the next month.
• Refunds: If a customer requests a refund for a payment that generated a commission, that commission will be deducted from your account balance.
• Payment Method: All payouts will be made via PayPal. Affiliates are responsible for any receiving fees charged by PayPal.

2. Self-Referrals

• Strictly Prohibited: You may not use your own affiliate link to sign up for a VNDLY subscription for your own business or a business you own a controlling stake in. The affiliate program is designed to reward you for bringing in new business, not for obtaining a discount on your own account.
• Consequence: Self-referral commissions will be voided, and your affiliate account may be banned.

3. Advertising & Brand Bidding

• No Brand Bidding: Affiliates are strictly prohibited from running Pay-Per-Click (PPC) campaigns (such as Google Ads, Bing Ads, etc.) that bid on "VNDLY", "VNDLY.io", or any misspellings or variations of our brand name.
• No Coupon or Deal Sites: Affiliates may not promote VNDLY on dedicated coupon, discount, or deal aggregate websites.
• No Impersonation: You may not present yourself as an employee, founder, or official representative of VNDLY. You must clearly act as an independent affiliate or partner.

4. Tracking & Attribution

• Cookie Duration: We use a 60-day cookie to track referrals. A referred user must sign up within 60 days of clicking your link for you to receive credit.
• Last-Touch Attribution: If a user clicks multiple different affiliate links before signing up, the commission will be awarded to the affiliate whose link was clicked last.
• Upgrades & Downgrades: Your 20% commission is tied to the actual revenue collected. If your referred customer upgrades to a higher tier or downgrades to a lower tier, your commission will automatically adjust to 20% of their new subscription amount.

5. Spam & Compliance (FTC)

• No Spam: You may not use unsolicited email (spam), automated bots, or deceptive practices to distribute your referral link.
• FTC Disclosure: If you are promoting VNDLY in the United States (or to US customers), you must comply with FTC guidelines by clearly disclosing your affiliate relationship. (e.g., "This post contains affiliate links, meaning we may earn a commission if you sign up.")

6. Right to Terminate (God Mode)

• VNDLY reserves the right to review all affiliate signups and commissions.
• We reserve the right to terminate any affiliate account at any time, for any reason, and void any unpaid commissions if we determine, in our sole discretion, that the affiliate has violated these terms, engaged in fraudulent activity, or taken actions that damage the VNDLY brand.

7. Program Termination & Company Acquisition

• Right to Terminate Program: VNDLY reserves the right to suspend or terminate the Affiliate Program at any time. If the program is terminated, affiliates will be paid all outstanding cleared commissions, but all future recurring commissions will cease.
• Acquisition or Change of Control: In the event that VNDLY is acquired, sold, merges with another entity, or undergoes a change of ownership, we reserve the right to transfer, modify, or terminate this affiliate agreement. "Lifetime" commissions are valid only for the lifetime of the active VNDLY Affiliate Program under its current ownership.
• Service Discontinuation: If VNDLY ceases operations or shuts down the software service, all commission obligations are immediately terminated.

8. Agreement Modification

• VNDLY reserves the right to update or change these terms at any time. Active affiliates will be notified of any significant changes. Continued participation in the program constitutes acceptance of the updated terms.
